Confidentiality

Any confidential information received by Halpern & Associates, LLC, any copies generated, any written summaries, discussions or excerpts that reference the confidential information, will be kept in strictest confidence.

Any of such information may be disclosed to members, partners, directors, officers or employees (collectively, “Representatives”) who need to know such information for the Permitted Use.

Confidential information shall not, directly or indirectly, be divulged, used, published, traded on or otherwise disclosed by Halpern & Associates, LLC to any other person or entity at any time, or used for any other purpose other than the Permitted Use.

These restrictions shall not apply if:

1. Halpern & Associates, LLC is required by legal process or by operation of law to disclose any such confidential information.
2. Client consents to such disclosure in advance.
